EasyInvoicing

1. Agreement to Terms

By creating an EasyInvoicing account or using our invoicing services, you agree to these Terms of Use. If you disagree with any part of these terms, you must discontinue use of EasyInvoicing immediately.

2. Definitions

  • "EasyInvoicing," "we," "us," "our" refers to EasyInvoicing Ltd and its subsidiaries.
  • "User," "you," "your" refers to any individual or business using our platform.
  • "Services" means our invoice creation, payment tracking, expense management, and related business tools.
  • "Account" means your registered EasyInvoicing user account.
  • "Client Data" means information about your customers that you input into the platform.

3. Eligibility and Registration

  • You must be at least 18 years old to use EasyInvoicing.
  • You must provide accurate, current, and complete information during registration.
  • You represent that you have the authority to bind your business to this agreement.
  • One account per business — you may not create accounts on behalf of others.
  • You are responsible for maintaining the confidentiality of your login credentials.
  • Physical business addresses are required (no P.O. boxes).

4. Permitted Use

  • EasyInvoicing is designed for legitimate business invoicing and financial management.
  • Services are for business use only, not personal, family, or household purposes.
  • You must use the platform in compliance with all applicable Nigerian laws and regulations.

5. Prohibited Activities

You agree not to:

  • Use the service for fraudulent, illegal, or unauthorized purposes.
  • Upload malware, viruses, or harmful code.
  • Attempt to gain unauthorized access to our systems or other users' accounts.
  • Share your account credentials with unauthorized parties.
  • Scrape, copy, or reproduce our intellectual property.
  • Enter false or misleading information.
  • Use the platform to harass, threaten, or harm others.
  • Violate any applicable tax laws or financial regulations.
  • Store sensitive payment card data (CVV codes) in memo or note fields.

6. Data You Provide

  • You are solely responsible for the accuracy of all data entered into EasyInvoicing.
  • You warrant that you have obtained necessary consents from clients and employees before entering their personal information.
  • We do not verify or certify the accuracy of your invoices, expenses, or financial records.
  • You retain ownership of all your business data.

7. Payment Card Data Security

  • Only enter payment card information in fields explicitly designated for that purpose.
  • Do not enter card numbers, CVV codes, or expiration dates in memo, note, or description fields.
  • We comply with PCI-DSS standards for cardholder data we collect on your behalf.
  • You are responsible for any cardholder data entered incorrectly or in violation of this agreement.

8. Intellectual Property

  • EasyInvoicing retains all rights to our software, design, trademarks, and platform.
  • You are granted a limited, non-exclusive, non-transferable license to use our services.
  • You may not copy, modify, distribute, sell, or reverse engineer our platform.
  • Your business data remains your property; you grant us a license to process it to provide services.

9. Subscription and Payment Terms

  • Subscription fees are billed monthly in Nigerian Naira (₦).
  • All fees are non-refundable unless otherwise stated.
  • We reserve the right to modify pricing with 30 days' notice.
  • Failure to pay may result in account suspension or termination.
  • You authorize us to charge your selected payment method automatically.

10. Service Modifications and Availability

  • We may modify, suspend, or discontinue features at any time without liability.
  • We do not guarantee uninterrupted or error-free service.
  • We may limit service availability to certain geographic regions.
  • Scheduled maintenance may occur with or without notice.

11. Account Termination

  • You may close your account at any time through account settings.
  • We may suspend or terminate accounts that violate these terms.
  • Upon termination, you have 30 days to export your data.
  • We retain data as required by law after account closure.

12. Limitation of Liability

  • EasyInvoicing is provided "as is" without warranties of any kind.
  • We are not liable for any indirect, incidental, or consequential damages.
  • Our total liability shall not exceed the fees you paid in the preceding 12 months.
  • We are not responsible for errors resulting from incorrect data input.
  • We do not provide accounting, tax, or legal advice.

13. Indemnification

You agree to indemnify and hold EasyInvoicing harmless from any claims, damages, or expenses arising from:

  • Your violation of these terms.
  • Your violation of any laws or regulations.
  • Unauthorized use of your account.
  • Your client disputes or business practices.

14. Third-Party Services

  • Payment processing and banking integrations are provided by third-party partners.
  • Third-party services are governed by their own terms and privacy policies.
  • We are not responsible for third-party service failures or fees.

15. Dispute Resolution

  • Disputes shall be resolved through good-faith negotiation.
  • If negotiation fails, disputes will be subject to arbitration under Nigerian law.
  • Arbitration shall take place in Lagos, Nigeria.
  • You waive the right to participate in class action lawsuits.

16. Governing Law

These terms are governed by the laws of the Federal Republic of Nigeria. Any disputes shall be resolved in the courts of Lagos State.

17. Changes to Terms

We may update these terms at any time. Continued use after changes constitutes acceptance. Material changes will be communicated via email or platform notification.
